2. Description of Services
Agency B provides AI-powered missed-call text-back automation, AI scheduling agents, and website development services for service businesses. Our platform is designed to re-engage missed callers via instant SMS, book appointments through conversational AI, and build conversion-focused websites. We reserve the right to modify, suspend, or discontinue any feature at any time without prior notice.
3. Client Responsibilities
You are responsible for providing accurate business information, maintaining valid contact numbers, and ensuring you have proper consent to text message any phone numbers routed through our system. You agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and all SMS marketing regulations. You are responsible for the content of any messages you authorize.
4. Billing & Payment
Service fees are billed according to the plan or quote agreed upon at signup. Payment is due in advance of each billing cycle. Invoices not paid within fifteen (15) days of the due date may result in service suspension. All fees are non-refundable except where required by law. We may adjust pricing with at least thirty (30) days' written notice.
5. Intellectual Property
All content, software, branding, and materials provided by Agency B remain our exclusive intellectual property. Client-provided content remains the property of the client. Upon full payment, clients receive a license to use delivered website assets for their business purposes. You may not resell, redistribute, or reverse-engineer any portion of our platform.
6. Limitation of Liability
Agency B is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the amount paid by you in the three (3) months preceding the claim. We do not guarantee specific revenue results, conversion rates, or business outcomes from use of our tools.
7. Third-Party Services
Our services may integrate with third-party platforms including calendar systems, CRM tools, and telephony providers. We are not responsible for the availability, accuracy, or performance of these third-party services. You agree to comply with the terms of any third-party services you connect.
8. Termination
Either party may terminate services with written notice. Upon termination, we will wind down active campaigns within a reasonable period. Outstanding fees remain due, and access to the platform will be revoked once the termination is effective.
9. Changes to These Terms
We may update these Terms & Conditions at any time. Material changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the revised terms.
